1. Acceptance of these terms
These Terms of Service ("Terms") are a binding agreement between you and Cloudkaro ("Cloudkaro", "we", "us") governing your use of cloudkaro.in and the Cloudkaro software platform (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.
If you use the Service on behalf of a company or team, you confirm you have authority to bind that organization, and "you" includes it. You must be at least 18 years old to use the Service.
2. The Service
Cloudkaro is a cloud-based work management platform that lets organizations build manager hierarchies, assign and track tasks, chat 1:1, share contacts and use a shared calendar. Features and limits depend on your plan, as shown on our Pricing page. We may add, change or remove features over time.
3. Accounts and organizations
- You must provide accurate information and keep it up to date.
- You are responsible for keeping your password secure and for all activity under your account. Tell us promptly at support@cloudkaro.in if you suspect unauthorized access.
- The person who creates an organization is its account owner and is responsible for how it is used, including the users they or their managers add.
- One person may not share a single login among multiple people.
4. Managers, invitations and hierarchy
Cloudkaro lets managers add their own managers and members, up to the maximum number of levels stated on our website. If you add or invite someone, you confirm you are authorized to do so and that you have a lawful basis to share their details with the Service. Visibility inside an organization follows the role-based rules described in our Privacy Policy. Organization owners and managers are responsible for deciding who sits where in their chain and what work is assigned to whom.
5. Acceptable use
You agree not to:
- break any law or infringe anyone's rights, including privacy and intellectual property rights;
- upload or send unlawful, harassing, defamatory, hateful or sexually explicit content;
- send spam or use the chat or invitations to contact people who haven't agreed to hear from you;
- upload viruses or malicious code, or try to disrupt or overload the Service;
- attempt to access other users' accounts, data or parts of the Service you aren't authorized to use, or bypass role-based access controls;
- scrape, reverse engineer, decompile or copy the Service, except as the law allows;
- resell or provide the Service to third parties as a competing product without our written consent; or
- use the Service to store data you have no right to store.
6. Your content and data
You keep ownership of everything you put into the Service, including tasks, messages, contacts, files and notes ("Your Content"). You give us a limited, non-exclusive licence to host, process, back up and display Your Content solely to provide and secure the Service for you and your organization.
You are responsible for Your Content and for having the rights and permissions needed to upload it. You can export or delete your data, and we handle it as described in our Privacy Policy. We don't use the content of your tasks or chats for advertising.
7. Plans, payment and refunds
- Free plan: available for small teams within the limits shown on the Pricing page. We may change free-plan limits with reasonable notice.
- Paid plans: fees, billing cycle and included features are shown on the Pricing page or in your order. Fees are charged in advance, are exclusive of applicable taxes such as GST unless stated, and you are responsible for those taxes.
- Renewal and cancellation: paid plans renew automatically unless you cancel before the renewal date. Cancelling stops future charges; you keep access until the end of the paid period.
- Refunds: except where required by law or stated otherwise at purchase, fees already paid are non-refundable.
- Price changes: we will give you advance notice before any price change takes effect for your plan.
8. Our intellectual property
The Service, including its software, design, logos, text and trademarks, belongs to Cloudkaro or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes under these Terms. No other rights are granted.
If you send us feedback or suggestions, we may use them freely without obligation to you.
9. Third-party services
The Service may connect to third-party tools such as Google Calendar or Outlook. Your use of those is governed by their own terms and privacy policies, and we are not responsible for them. Integrations marked "coming soon" are not yet available and may change.
10. Availability, support and changes to the Service
We work to keep the Service available and run daily backups, but we do not promise uninterrupted or error-free operation. We may carry out maintenance, and the Service may be unavailable because of events outside our control. We may modify or discontinue features, and where we discontinue a paid feature in a way that materially harms you, we will give notice and, where appropriate, a pro-rata refund.
11. Suspension and termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your access if you breach these Terms, put the Service or other users at risk, fail to pay fees when due, or if required by law. Where reasonable, we will give notice first.
- On termination, your right to use the Service ends. We will make Your Content available for export for a reasonable period (unless the law or a security risk prevents it) and then delete it as described in our Privacy Policy.
- Sections that by their nature should survive (such as ownership, disclaimers, liability limits, indemnity and governing law) continue after termination.
12. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will meet your requirements, that deadlines or notifications will always be delivered on time, or that the Service will be free of errors. You are responsible for your own business decisions and for keeping backups of critical data.
13. Limitation of liability
To the fullest extent permitted by law, Cloudkaro will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or INR 5,000 if you use only the free plan. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
14. Indemnity
You agree to defend and indemnify us against claims, losses and expenses (including reasonable legal fees) arising from Your Content, your breach of these Terms, or your violation of any law or third-party right, including claims by people you add to your organization without proper authority.
15. Governing law and disputes
These Terms are governed by the laws of India. We encourage you to contact us first to resolve any dispute informally. If it isn't resolved, the courts at Ghaziabad, Uttar Pradesh will have exclusive jurisdiction, subject to any mandatory consumer rights that apply to you.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and notify you by email or in the app. Continuing to use the Service after the changes take effect means you accept them. If you do not agree, you should stop using the Service.
